Terms of service

Last Updated: September 8, 2026

Welcome to our Service. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "consumer"), and IQBID Helios Limited, a company incorporated and registered under the laws of the Republic of Seychelles with international business company registration number 252002 and having its registered office at Suite 9, Ansuya Estate, Royal Street, Victoria, Mahe, Seychelles (the "Company," "we," "us," or "our").

These Terms govern your access to and use of our artificial intelligence (AI) model aggregation platform, user interface, website, and related applications (collectively, the "Service").

Please read these Terms carefully before accessing the Service. If you reside within the European Union (EU) or the European Economic Area (EEA), specific mandatory consumer protection laws, cross-border digital mandates, and regulations apply strictly to your usage, including the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), the EU Digital Services Act (DSA), and applicable pan-European consumer defense frameworks.

By interacting with the service, you agree to these terms:

1. Eligibility and age restrictions

By registering an account, completing the onboarding process, or otherwise accessing or utilizing the Service, you explicitly represent and warrant that you possess full legal capacity and are at least eighteen (18) years of age or have reached the mandatory age of majority under the local statutes of your specific European Union (EU) or European Economic Area (EEA) Member State of residence. The Service, its interface controls, and underlying computational capacities are strictly intended for adult consumers and professionals. If you are under the age of 18 (or the applicable legal age of majority in your jurisdiction), you are strictly prohibited from creating a user account, executing any payment transactions, or submitting any personal data, prompt requests, text inputs, or analytical digital files to the Service infrastructure.

2. Nature of the service & eu ai act compliance

The Company operates an online software aggregation interface that routes user queries to independent third-party artificial intelligence infrastructure networks and large language or diffusion model developers via secure Application Programming Interfaces (APIs). The Service acts strictly as an administrative and computational conduit between the user interface and downstream infrastructure providers.

EU AI ACT TRANSPARENCY DISCLOSURE: In strict compliance with Article 50 of the European Union Artificial Intelligence Act (Regulation (EU) 2024/1689), the Company explicitly informs you that all text, images, code scripts, tabular datasets, documents, and structural outputs generated through this Service are created automatically by artificial intelligence algorithms, neural networks, and generative machine learning systems. The Service does not generate, fact-check, or produce human-authored editorial or journalistic content. By interacting with the Service, you explicitly acknowledge, understand, and confirm your full awareness that you are interacting directly with an artificial intelligence system, and you agree to evaluate all machine-generated outputs at your own professional discretion.

3. Subscriptions, fees, and payments
3.1. Hybrid Billing Architecture

Access to specialized features, high-tier aggregated artificial intelligence models, and distinct workspace layouts requires the purchase of a pre-paid computational package (each, a "Subscription Plan"). The fees, technical parameters, interface availability timeframes, and included token allocations applicable to each Subscription Plan are explicitly and transparently displayed on the Company’s check-out and payment interface. All billing transactions initiated by users residing within the European Union (EU) or European Economic Area (EEA) are securely routed and processed through authorized third-party infrastructure payment processors and European banking partners (collectively, "Payment Processors").

To prevent unauthorized or fraudulent billing disputes, Users within the European Union and European Economic Area explicitly agree and are contractually mandated to contact our specialized billing operations department directly at billing@iqbid.ai to resolve any payment discrepancies, transactional latencies, multi-currency conversion errors, or pricing misunderstandings prior to initiating any formal chargeback requests, payment reversals, or dispute frameworks with their card-issuing bank, credit card networks, or financial institutions.

3.2. Pre-Paid Non-Recurring Transactions and Token Carried-Over Policy

(a) Pre-Paid Access Only: The Service operates strictly on a one-time, pre-paid basis. The Service does not utilize, implement, or support automatic account renewals, recurring billings, or latent subscriptions.

(b) Interface Expiration vs. Token Preservation: Purchasing a Subscription Plan grants you a time-limited contractual right to access specific software functionalities (e.g., advanced file processing tools or specialized routing suites) for a fixed calendar duration (e.g., 30 calendar days). Upon the expiration of this pre-paid duration, access to the specific software tier will automatically lock. However, any unused, unspent computational credits included within that plan (the "IQBID Tokens") shall never expire and will not be forfeited at the end of the billing period. All remaining IQBID Tokens are safely carried over to your global account balance and remain completely accessible for future data execution cycles or within other integrated software applications across the Company’s infrastructure ecosystem.

(c) Regulatory Status of IQBID Tokens (MiCA Compliance): IQBID Tokens represent exclusively internal, proprietary, non-crypto technical metrics used solely to calculate data throughput, API execution costs, and server bandwidth consumption within the Service interface. In strict compliance with the European Union Markets in Crypto-Assets Regulation (Regulation (EU) 2023/1114, "MiCA"), IQBID Tokens do not constitute, mirror, or approximate any form of asset-referenced tokens, electronic money tokens, crypto-assets, virtual currencies, stablecoins, digital securities, or investment assets. IQBID Tokens possess absolutely zero cash value, are completely non-transferable between separate user accounts, and are strictly non-redeemable for fiat currency, cryptocurrency, or any real-world financial assets.

3.3. Mandatory Waiver of the EU Right of Withdrawal

UNDER DIRECTIVE 2011/83/EU OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL ON CONSUMER RIGHTS, EU CONSUMERS GENERALLY POSSESS A PROTECTED STATUTORY RIGHT TO WITHDRAW FROM ANY DISTANCE CONTRACT WITHIN A COOLDOWN PERIOD OF FOURTEEN (14) CALENDAR DAYS FROM THE TRANSACTION DATE WITHOUT PROVIDING ANY JUSTIFICATION.

HOWEVER, PURSUANT TO ARTICLE 16(M) OF SAID CONSUMER RIGHTS DIRECTIVE 2011/83/EU, THE STATUTORY RIGHT OF WITHDRAWAL DOES NOT APPLY, AND IS EXTINCT, REGARDING THE SUPPLY OF DIGITAL CONTENT WHICH IS NOT SUPPLIED ON A TANGIBLE MEDIUM IF THE PERFORMANCE HAS BEGUN WITH THE CONSUMER’S PRIOR EXPRESS CONSENT AND ACKNOWLEDGMENT.

BY PURCHASING A SUBSCRIPTION PLAN, ACQUIRING IQBID TOKENS, AND EXECUTING A TRANSACTION VIA THE "PAY" OR "SUBSCRIBE" BUTTON, YOU EXPLICITLY REQUEST, AUTHORIZE, AND PROVIDE YOUR UNCONDITIONAL EXPRESS CONSENT TO THE IMMEDIATE PERFORMANCE, EXECUTION, AND PROVISION OF THE DIGITAL CONTENT AND SOFTWARE AGGREGATION SERVICES. YOU ACKNOWLEDGE, UNDERSTAND, AND EXPRESSLY AGREE THAT IMMEDIATELY UPON THE PROVISION OF FUNCTIONAL INTERFACE ACCESS AND THE ALLOCATION OF IQBID TOKENS TO YOUR USER PROFILE BALANCE, THE CONTRACT HAS BEEN FULLY EXECUTED BY THE COMPANY, AND YOU COMPLETELY AND IRREVOCABLY LOSE YOUR STATUTORY 14-DAY RIGHT OF WITHDRAWAL AND ANY CLAIMS TO A FINANCIAL REFUND. BECAUSE UNUSED IQBID TOKENS DO NOT EXPIRE AND REMAIN VALID ON YOUR ACCOUNT BALANCE PERMANENTLY, NO PRO-RATED BALANCES OR PARTIAL REFUNDS SHALL BE ISSUED UNDER ANY CIRCUMSTANCES.

4. Intellectual property and user materials
4.1. User Content

You retain all structural ownership, underlying copyright, and intellectual property rights in the text prompts, structured questions, training strings, and individual digital files (including images, audio recordings, source code, text documents, or metadata) that you upload, submit, or transmit directly into the interface of the Service (collectively, "User Content"). You explicitly represent, warrant, and guarantee that you possess all necessary legal titles, licenses, rights, and corporate permissions required under applicable European Union laws to submit such User Content and that its transmission does not infringe upon any third-party proprietary rights.

4.2. Licensing for Processing

To deliver the technical functionalities of the Service, you hereby grant the Company a worldwide, non-exclusive, royalty-free, transactional, fully paid-up license to host, temporary cache, technically modify for formatting purposes, transmit, and route your User Content to independent third-party artificial intelligence infrastructure models (such as OpenAI, LLC and Google LLC) strictly for computational execution, response synthesis, and delivery to your account. This transactional processing license terminates automatically upon the expiration of your session or the definitive technical deletion of your data from our operational infrastructure cache.

4.3. AI Generated Outputs

The Company does not assert, claim, or reserve any copyright, patent, or intellectual property ownership over the textual, visual, software code, structural, or analytical materials generated automatically by the aggregated third-party artificial intelligence models in response to your specified prompts and inputs (collectively, "Outputs"). The allocation, recognition, and enforcement of any intellectual property rights over machine-generated outputs are governed strictly by the national copyright acts and statutory laws of your specific European Union (EU) or European Economic Area (EEA) Member State of residence.

5. Disclaimer of warranties & limitation of liability
5.1. AI Accuracy and Hallucinations

You explicitly acknowledge, understand, and agree that automated machine learning systems, neural networks, and generative computational models may occasionally generate inaccurate, incomplete, biased, contextually inappropriate, or completely incorrect Outputs (commonly referred to in technological frameworks as "AI hallucinations"). The Company acts strictly as an aggregation and routing conduit and does not fact-check, verify, validate, or guarantee the objective truthfulness, security, safety, legal compliance, or real-world utility of any generated Output. You utilize all synthetic responses and generated outputs entirely at your own discretion, professional judgment, and independent risk.

5.2. Statutory Warranty Rights

Nothing in these Terms of Service shall limit, exclude, or otherwise degrade your mandatory statutory warranty rights as an European Union (EU) or European Economic Area (EEA) consumer regarding digital services, software content, or digital infrastructure that fail to comply with subjective or objective conformity requirements set forth under Directive (EU) 2019/770 on certain aspects concerning contracts for the supply of digital content and digital services. In the event of a technical non-conformity, you possess all mandatory remedies provided under your applicable national consumer protection statutes.

5.3. Limitation of Liability

To the maximum extent permitted by the mandatory consumer protection laws and statutory public policies of your country of residence, the Company’s total aggregate financial liability for any damages, structural losses, legal costs, or claims arising out of or directly in connection with the Service shall be strictly limited to the total monetary amount paid by you to the Company for your current active Subscription Plan tier and associated unused IQBID Tokens during the twelve (12) months immediately preceding the specific calendar event giving rise to liability. The Company shall not be liable under any circumstances for any indirect, unpredictable, non-foreseeable, or consequential losses, loss of business data, software downtime, or any system failures resulting from your direct breach of our Acceptable Usage Policy or fraudulent chargeback activities.

6. Mandatory eu dispute resolution & jurisdiction

6.1. ODR Platform
